Alvin Lin Discusses Shopify Software Copyright Settlement in World IP Review

Morrison Cohen Technology, Data & IP Partner Alvin Lin was quoted in World IP Review discussing Shopify's settlement of its software copyright dispute with Singapore-based e-commerce platform Shopline and what the outcome means for software developers and intellectual property owners.

The article by Muireann Bolger examines Shopify's claims that Shopline copied portions of its open-source storefront code and theme, Dawn, to create a competing product. Under the confidential settlement, Shopline agreed to stop distributing the disputed software and make a monetary payment, bringing an end to one of the most closely watched software copyright cases in recent years.

Alvin described the resolution as "a good result for Shopify," noting that although the case was never decided on the merits and little discovery had taken place, Shopify nevertheless secured two significant forms of relief: an order requiring Shopline to stop distributing its software and a monetary payment.

Alvin also explained why the case survived the defendants' motion to dismiss, pointing to Shopify's well-pleaded copyright claims. As he noted, "The complaint survived defendants' motion to dismiss because it clearly alleged the key elements of copyright infringement: valid registered copyrights and specific evidence of copying." He added that the defendants' arguments, including challenges to the copyrights' validity and other factual defenses, were not the kind of issues that would be were going to be resolved at the motion-to-dismiss stage.

Alvin observed that the costs and risks of continued litigation likely played an important role in the decision to settle. He noted that the case demonstrates the value of obtaining copyright registrations, even for software that incorporates open-source or public-domain materials, explaining that Shopify's registered copyrights helped position the company to achieve a favorable settlement despite the defendants' arguments.
