Today’s retail and consumer goods companies operate in a vast array of geographic markets and business environments.

From national and international brick-and-mortar retailers to e-commerce platforms, Morrison Cohen understands the breadth of opportunity and competition within this global industry and works to protect our clients’ market positions. Because of our multidisciplinary approach and attention to client service, major names in apparel, accessories and beauty, including renowned luxury brands, and countless consumer products companies, turn to us for counsel in all aspects of their legal and business operations.

Our lawyers understand current market conditions and how they affect your business. We advise clients on their full business lifecycle – from establishing new entities to protecting the value and trade secrets of their products to advising on mergers, acquisitions and exit strategies.

Bankruptcy, Restructuring & Governance: Our team counsels clients regarding store closures and winding up businesses, Chapter 11 bankruptcy, real estate loan work-outs, restructurings and foreclosures.

Business Litigation: Business disputes are commonplace in the competitive world of retail and consumer products, and companies must know how to protect and defend themselves when necessary. Our litigation team provides Alternative Dispute Resolution and related services across the full spectrum of disputes that arise, including liability claims, trademark prosecution, workforce issues, e-commerce claims involving the Americans with Disabilities Act (ADA) and litigation matters with landlords on a variety of issues.

Corporate: Leading retailers and consumer products companies rely on us for the full range of transactional and corporate matters, including mergers and acquisitions, buyouts, investments, sales, joint ventures, equity financings, commercial partnerships and other strategic business deals, as well as all related Tax matters.

Executive Compensation & Employee Benefits: We frequently represent CEOs of global retailers and labels in connection with negotiating and drafting employment and equity arrangements. We are often involved in the earliest stages of a company’s lifecycle, creating operating and partnership agreements, as well as employment, separation and restrictive covenant agreements, incentive compensation plans and ESOPs.

Labor & Employment: We work hand in hand with our clients’ corporate and HR teams to understand their business objectives and resolve the complex legal and employee-relations challenges they face on a day-to-day basis. We structure and implement employment agreements, employee and compliance policies and restrictive covenant agreements, as well as provide training regarding policies that prohibit workplace harassment and employment discrimination. In addition to mitigating employment-related risks, we effectively negotiate disputes and vigorously defend our clients’ interests in courts and arbitration forums throughout the country.

Real Estate: Retailers are finding new ways to thrive in a shifting landscape; big box stores and large national retailers are closing and consolidating, now competing with or adopting internet-based retailing. We help national retailers and shopping centers in the acquisition, development, leasing, purchase and sale of real property. We handle hundreds of lease negotiations each year, securing optimal retail lease terms for both landlords and tenants. Many of the most popular brand-name retailers comprise 90% of our leasing clients.

Technology, Data & IP:  A company’s success depends on protecting its brand and retaining customer trust, and we partner with clients to safeguard the value of their products through licensing and the registration and enforcement of copyrights, patents, trademarks and trade dress, as well as portfolio management. We also help clients comply with evolving privacy and data security laws and regulations (including the CCPA and GDPR), identify gaps in their privacy policies, and prevent and respond to data and security breaches.
