Mark Jarashow concentrates his practice on the representation of clients involved in a wide variety of commercial and business disputes.

Mark is a seasoned commercial litigator that has over 15 years of experience representing public and private businesses and individuals in a wide range of complex commercial and business disputes involving contract, partnership, real estate, securities, employment law, shareholder disputes and government investigations. Mark has extensive experience with litigations in state and federal court across the country, as well as in a wide variety of arbitrations, mediations, and alternative forms of dispute resolution.
 

Mark has significant experience in all phases of litigation, including but not limited to pre-action investigations, obtaining temporary restraining orders and preliminary injunctions, discovery and depositions, subpoenas, motion practice, trials, appeals, and negotiating settlements.
 

During law school, Mark served as judicial intern to the Honorable Sherry Klein Heitler (Ret.), formerly a Justice in the Supreme Court of the State of New York and an Associate Justice of the Appellate Term, First Department.
 

Prior to joining Morrison Cohen in 2013, Mark was a litigation associate at Am Law 100 firm Stroock & Stroock & Lavan LLP.

Experience

  • Representing large commercial mortgage broker in connection with disputes with former employees over enforcement of restrictive covenants, including non-compete and non-solicit covenants. Obtained temporary restraining order and preliminary injunctions against former employees.
  • Representing large not-for-profit corporation in connection with dispute with former management company concerning allegations of breaches of fiduciary duty and tortious interference with business relations. Obtained dismissal of claims against client seeking damages in excess of $15 million.
  • Representing over 100 Chinese investors in lawsuit against EB-5 Regional Center related to clients’ investments of over $75 million into company that used the funds to issue a construction loan to fund renovations to historic building in Manhattan, which Regional Center mismanaged, leading to loss of clients’ investments.
  • Representing global financial advisory and consulting firm in connection with a wide range of litigation matters, including but not limited to collection actions, disputes with contractual counterparties, and responses to information subpoenas issued by the SEC, DOJ, and other government entities.
  • Representing leading wholesale distributor in connection with a wide range of litigation matters, including but not limited to litigation against its payroll processing company, hiring of employees of competitors subject to restrictive covenants, and government-issued subpoenas.
  • Representing commercial lender in connection with numerous disputes with borrowers concerning their defaults on loans provided by client in connection with purchase and operation of various healthcare facilities. Obtained summary judgment and millions of dollars in judgments against borrowers.
  • Representing private equity investment firm in connection with dispute with former partner in joint venture related to private road-racing school concerning allegations of fraud, breach of contract, and associated claims.
  • Represented billion-dollar REIT in connection with dispute with adjacent property owner and developer concerning client’s development and construction of a resort and casino. Obtained favorable settlement for client that permitted completion of successful development project.
  • Represented large Manhattan real estate owner in connection with dispute with developer over condo conversion of Upper East Side properties concerning breaches of contract, fraud, and related claims against developer. Obtained summary judgment and multi-million dollar judgment for client.
  • Represented tech-enabled healthcare provider startup in connection with dispute with computer program developer over developer’s breaches of master products and services agreement concerning its creation and implementation of computer-based system to provide risk adjustment services to be used by client in providing services. Obtained favorable result for client which facilitated its retention of alternate developer to provide required system.
  • Represented international retailer in 4-day rent-reset arbitration involving 25,000 square foot retail space in Herald Square in Manhattan.
  • Represented commercial mortgage broker in connection with lawsuit by owner of property concerning allegation that client conspired with lender to induce owner not to seek financing elsewhere. Obtained summary judgment for client dismissing all claims brought by owner and awarding client its attorneys’ fees incurred in connection with the litigation.
  • Represented owner of dozens of skilled nursing and other healthcare facilities across the country in connection with numerous litigation matters, including but not limited to disputes with former business partners over ownership in healthcare facilities, disputes with sellers and purchasers or healthcare facilities related to breaches of purchase and sale agreements, and disputes with managers concerning mismanagement of facilities. Have obtained successful outcomes to the litigations including but not limited to obtaining temporary restraining orders and preliminary injunctions for client, obtaining summary judgment dismissing millions of dollars in claims against client, and obtaining favorable settlements for client that preserved client’s ownership and control over business entities.
  • Represented New York real estate developer in connection with investigation by New York Attorney General’s Office into business practices concerning condominium conversions. Obtained favorable settlement of investigation for client.
  • Represented international bank in connection with litigation brought by foreign private land owners attempting to enforce over $25 million judgment obtained against foreign state actor against assets of client based upon Office of Foreign Assets Control list designation. Successfully obtained dismissal of claims against client.
