Our client base is varied in terms of size, nationality and industry, ranging from multinational, publicly traded companies to start-ups and early-stage emerging companies, as well as the financial institutions, intermediaries and investors that transact with such companies . We regularly advise our United States clients on doing business abroad and our foreign clients in regard to their United States operations. We also serve as international counsel in transactions involving multiple jurisdictions.

We are fortunate to have one of the leading private investment fund practices in the United States, representing many large, well known fund sponsors and fund investors in the United States and abroad. We represent these entities in connection with their fund formation, capital raising, investments, compliance, and liquidity activities. We advise in all fund areas, including private equity, venture capital, mezzanine debt, leveraged buyout, distressed asset, hedge, funds of funds and other fund areas.

We have a sophisticated mergers and acquisitions practice assisting both financial and strategic buyers and sellers, investment and merchant banks, and senior and mezzanine lenders in all types of domestic and cross-border mergers, acquisitions, corporate reorganizations, joint ventures, and other business combinations. We bring together lawyers from our Corporate, Tax, Bankruptcy & Reorganization, Commercial Lending & Finance, Business Litigation, Compensation, Benefits & Employment, Real Estate and Intellectual Property practice groups to provide an interdisciplinary approach to structuring, negotiating and consummating complex business combinations.

Our work for operating companies ranges from representing entrepreneurs in the formation of start-up operations and, growth companies in their venture capital and private equity financings and established U.S. and foreign businesses in their cross-border securities and capital markets transactions, public company reporting and mergers and acquisitions activities. In working together with the other departments of our Firm, we advise our clients on all aspects of their operations, including, among others, intellectual property, commercial contracts, joint ventures, corporate governance, real estate, compensation and benefits, labor and employment, litigation, tax, regulatory compliance and bankruptcy and restructuring matters.  We also represent the investment and merchant banks and other financial institutions, intermediaries and investors that deal regularly with such companies.

We are active in financings on both the borrower and lender side. On the borrower side, we represent strategic buyers, operating companies, financial sponsors, leveraged buy-out firms and private equity firms in a variety of financing transactions. On the lender side, we represent banks, mezzanine lenders, hedge funds and other financial institutions in single and multiple lender financings. We assist in all types of acquisition transactions in which financing is involved and also serve as a destination practice for senior, mezzanine and other lenders. Our lawyers represent the agents in senior secured financings and we work with our Bankruptcy & Reorganization practice group on advising our clients through the workout and restructuring phases of existing financings.
