Randi Mason Quoted in Inside P&C on the Overheated R&W Market
Randi Mason, Partner & Co-Chair of our Corporate Practice, was quoted in a February 14, 2022 Inside P&C article entitled “US M&A Boom is ‘Overheating’ the Reps and Warranties Market.” The article explores how increased demand in the maturing representations and warranties (R&W) insurance market – brought on by the M&A boom during the pandemic – has driven rates higher and caused insurers to become more selective about where they deploy their capacity.
Randi explained that parties to some small and mid-market transactions are now creating contingency plans, including negotiating more traditional escrow terms, in case they can’t find R&W insurance. She said, “The market has been so overheated, there are so many deals that [the carriers] can’t get them all. They're focusing on the deals that are more attractive to them economically, which in most cases are the larger deals. Lower [and] middle market deals are getting a lot less attention.”
