Randi Mason Discusses Rise of Independent Sponsors in the Lower Middle Market with Mergers & Acquisitions
Partner Randi Mason, chair of Morrison Cohen’s Corporate Practice, was quoted in the Mergers & Acquisitions article, “Independence Day: Independent Sponsors Emerge as a Force in the Lower Middle Market,” which examines the growing role of independent sponsors in the lower middle-market M&A landscape. The article explores how experienced private equity dealmakers are increasingly leaving established firms to pursue acquisitions independently, while institutional investors are creating dedicated strategies to provide capital to these sponsors on a deal-by-deal basis.
Asked to explain the groundswell of new funds dedicated to financing independent sponsors, Randi pointed to the perceived market opportunity for general partners and the potential benefits for their limited partners. “GPs see a need in the market, and they see a way to make money on it,” said Randi. “It potentially gives good returns to their LPs. They see an opportunity.”
She noted that the model is particularly compelling given the depth of experience among independent sponsors and the competitive nature of the lower middle market. “There is a lot of competition in that space and a lot of really talented people who know sectors really well,” she said. “It’s a good business decision.”
