Michael McGovern advises clients on a broad range of executive compensation and employee benefits matters.

Michael represents both employers and individuals on executive compensation matters including the negotiation and drafting of employment, consulting, retention, termination, change-in-control, severance, non-competition, non-solicitation and confidentiality agreements, as well as short and long-term incentive compensation and equity-based compensation arrangements. In addition, Michael regularly advises employers with respect to executive compensation and employee benefits issues arising out of a broad range of corporate transactions including mergers, acquisitions, corporate restructurings, financing arrangements and securities offerings. He also advises crypto companies regarding incentive token plan design.

Prior to joining Morrison Cohen, Michael served as counsel at Kluk Farber Law PLLC, where he focused on compensation and employment issues for emerging growth and venture-backed companies in the cosmetics, healthcare, consumer products, technology, crypto and hospitality industries, and as deputy general counsel at Vault Health, Inc., a venture-backed telehealth platform. Michael was previously an associate in the Employee Benefits & Executive Compensation Groups at Jones Day.
