Amber Will focuses on complex commercial litigation. Founders, directors, officers and other corporate professionals turn to her for counsel regarding a wide range of business disputes, including breach of contract, fraud, declaratory judgment, and other tort claims filed in both state and federal jurisdictions. Whether these cases go to trial or get settled before papers are filed, Amber works with her clients to protect their businesses and contractual rights. She has also advocated for clients’ property rights in cases involving eminent domain and easement disputes.

Amber maintains an active pro bono practice, working in the areas of immigration law, family law, veteran’s benefits and policy research. Specifically, she has represented numerous clients pro bono in affirmative and defensive asylum proceedings, U-Visa and other immigration filings and habeas corpus proceedings. 

Prior to joining Morrison Cohen, Amber was a litigation associate at Skadden, Arps, Slate, Meagher & Flom LLP. She previously served as a one-year term law clerk for the Chief Judge of the Southern District of West Virginia, Honorable Robert C. Chambers.

Experience

  • Defending lender in a condemnation proceeding seeking to take over the leasehold interest in Washington Union Station (Amtrak v. Union Station).
  • Defending declaratory judgment and trespass claims regarding a disputed easement for an apartment community.
  • Bringing breach of contract and fraud claims against a payroll servicing company.
  • Defending a declaratory judgment claim regarding membership and management rights in an LLC agreement.
  • Advising client on contractual agreement with condominium owners.
  • Defending commercial enterprise against EB-5 investor’s allegations for breach of contract.
  • Defending guarantors from allegations that conduct triggered full recourse under guaranties.
  • Defending company in breach of contract action regarding interpretation of books and records provision.
  • Secured a preliminary injunction in favor of mezzanine lender in a case seeking to enforce contractual rights provided by mezzanine loan agreement, which permitted lender to foreclose upon the occurrence of borrower’s default (Kookmin v. Union Station Sole Member LLC (USSM).
  • Represented Silver Sands Holdings I in a battle for ownership of the historic Silver Sands Motel and Cottages on Long Island’s North Fork. Settled five separate litigations in a global settlement that allowed the parties to enter into a stock purchase agreement and real estate transaction that gave Silver Sands Holdings I complete ownership in the company and the real property.
  • Successfully defended against a temporary restraining order and preliminary injunction that would have curbed the real estate developer’s speech pending the litigation.
  • Pro Bono: Secured defensive asylum for pro bono client who suffered persecution at the hands of government actors in his home country of Togo on the basis of his political opinions.
