Jack is a Partner in Morrison Cohen’s Corporate Department where his practice focuses on mergers and acquisitions, corporate finance and securities transactions, formation of private equity and other private investment funds, and corporate governance.

Jack regularly represents private equity funds and other purchasers and sellers in structuring, negotiating, and documenting acquisitions and dispositions of companies and other equity investments, leveraged buy-outs, and recapitalizations. He also advises funds with respect to their ongoing portfolio investments. Jack has extensive experience in financings, including public securities offerings, private placements, and Rule 144A offerings, where he has represented both underwriters and placement agents and issuers; in secured and other lending, including second lien facilities and subordinated debt financings, where he has represented both lenders and borrowers; in work-outs and restructurings; and in general corporate and commercial matters. 

Jack counsels boards of directors and committees of boards, including special committees of independent directors and audit committees, in connection with ongoing corporate matters, as well as related party and other extraordinary transactions. He has also spent a significant portion of his career working with entrepreneurs in the formation and early stage financing of their ventures, counseling them through successive capital raises, including initial public offerings. 

Jack has represented numerous financial institutions and public and private companies during his career in a wide range of industries, including, among others, in the media and entertainment, communications, health and wellness, business services, food services, cosmetics, pharmaceuticals, and industrial mineral and chemicals sectors.

  • AltEnergy Acquisition Corp., a SPAC sponsored by AltEnergy, LLC that is focused solely on making investments in the alternative energy sector, in $230 million IPO.
  • Eos Energy Storage LLC, manufacturer and distributor of renewable energy storage systems, in deSPAC transaction.
  • African Agriculture in its proposed merger with 10X Capital Venture Acquisition Corp. II, a Nasdaq-listed SPAC.
