Steve Cooperman Quoted in Law360 on Potential SEC Rules
Corporate Chair and Co-Managing Partner Steve Cooperman, who provides counsel to private equity funds as well as their portfolio companies, was quoted in a February 18, 2022 Law360 article entitled “SEC's Fund Disclosure Proposal Could Spark Pushback.” The article explores how the Securities and Exchange Commission's effort to change investor protection rules for both private equity firms and hedge funds may be received by investment firms.
In addressing the balance of negotiating power between financial sponsors and investors in the absence of SEC regulation, Steve stated, "The game is to continue to be able to raise funds, and you can only raise funds if you've delivered performance results. If you're an investment adviser, and you want to be successful, and have the ability to continue to raise funds and attract investor capital, there's a required amount of transparency and adherence to the disclosure requests of investors that you're going to need to comply with." Steve also said, “If adopted in its current form, it will certainly change the way that investment advisers have to operate going forward.”
