Michael Mix and Jason Gottlieb Explore Recent Litigation Stemming from Busted Deals Due to COVID-19

In the July 8, 2020 article, “Pre-COVID Deals, Post-COVID Litigation,” written for the New York Law Journal, Morrison Cohen Senior Counsel Michael Mix and Partner Jason Gottlieb examine the recent prevalence of litigation concerning agreements to purchase assets signed before the COVID-19 pandemic, but where the closing was scheduled for a date after the pandemic began.  

Many such deals never closed, which normally might have resulted in litigation -- except that the New York court system did not permit filing new, non-essential actions for over two months.  When the New York courts reopened to such complaints in late May 2020, the floodgates opened with new actions concerning deals that failed to closed due to the pandemic.  The article examines three such cases filed in the days right after the courts re-opened.
