Randi Mason helps private investment funds, business owners and executives buy and sell businesses, raise and invest capital and navigate the multitude of daily problems businesses face. Clients seek Randi’s counsel to help them simplify complex challenges, creatively solve difficult problems, overcome seemingly insurmountable impasses and efficiently close transactions.

She makes a point to listen carefully to her clients’ interests and objectives, devising effective and practical strategies and tactics to purse her clients’ goals. Randi uses her people skills and high EQ to negotiate outcomes that maximize her clients’ interests. Her approach is bolstered by excellent technical skills and deep legal knowledge borne out of decades of advising clients on a vast array of sophisticated and complex legal matters. 

Randi’s clients include private equity and venture capital funds, pooled investment vehicles, public companies and mature privately held companies, as well as early- and growth-stage businesses and their founders. She has represented clients in a broad range of industries, including consumer products and services, health and wellness, apparel and accessories, food and beverage, software and technology, medical equipment, industrial manufacturing, and advertising.

Randi joined Morrison Cohen in 2005. She was previously an associate in Weil, Gotshal & Manges LLP's capital markets group.

Experience

  • Represented Fanatics Betting and Gaming in its acquisition of U.S. operations of Australian sports betting company, PointsBet.
  • Represented Windham Mountain, a 60-year-old Catskills ski resort, in securing new investment from two hospitality and resort development families, the Beall family and Kemmons Wilson family, through its investment arm, Kemmons Wilson Hospitality Partners (KWHP). Windham Mountain is a portfolio investment of North Castle Partners.
  • Sale of Custom Essence, a New Jersey-based fragrance creation house, to Givaudan Fragrance & Beauty (GIVN), a Swiss multinational manufacturer of flavors, fragrances, and cosmetic ingredients that is traded on the SIX Swiss Exchange 
  • Majority investment in a large regional franchisee of Crunch Fitness studios by North Castle Partners.
  • Majority investment by North Castle Partners in Echelon Fitness, a developer, marketer and distributor of connected indoor bikes, stationary bikes, other fitness equipment and on-demand and live-streaming fitness content
  • Acquisition of accounting firm Imowitz Koenig & Co. and its affiliated fund advisory firm Real Estate Systems Implementation Group.by Eisner Amper.
  • Acquisition of ski resort Windham Mountain by North Castle Partners.
  • Majority investment by North Castle Partners in Encore Vet Group.
  • Majority investment by Tengram Capital Partners in Lime Crime, an innovative cult-status cosmetics and hair color brand.
  • Sale of The Laundress, a non-toxic laundry and home cleaning product brand, to Unilever, Inc.
  • Equity financing of JoyRide Cycle Studio, a regional indoor cycling brand
  • Majority investment by North Castle Partners in The Escape Game, a leading operator of experiential escape games.
  • Acquisition of Thomas Scientific, a leading medical laboratory equipment supplier, by an affiliate of the Carlyle Group.
  • Acquisition of Phenix Research Products, a leading medical laboratory equipment supplier, by Thomas Scientific.
  • Acquisition of Denville Scientific, a leading medical laboratory equipment supplier and division of publicly-traded Harvard BioScienc, by Thomas Scientific.
  • Acquisition of LOGIX Communications, a telecommunications company that specializes in fiber-based enterprise voice and data services, by private equity fund Astra Capital Management
  • Acquisition of Intematix, Inc., a leading developer and manufacturer of LED lighting technologies and solutions, by Kaistar Lighting (Xiamen) Co., Ltd.
  • Acquisition of Alpheus Communications by LOGIX Communications.
  • Majority investment in Barry’s Bootcamp, a boutique fitness operator that pioneered the indoor high-intensity interval training category, by private equity fund North Castle Partners
  • Acquisition of Bridgelux, Inc., a leading developer and manufacturer of LED lighting technologies and solutions, by a subsidiary of Kaistar Lighting (Xiamen) Co., Ltd.
  • Majority investment by North Castle Partners in Full Swing Golf, a worldwide leader in cutting edge indoor golf simulation technology.
  • Majority investment by North Castle Partners in Sprout Foods, a developer, marketer, and distributor of premium organic foods, primarily serving the baby/toddler market.
  • Sale of Laura Geller Cosmetics, a leading prestige color cosmetics brand, by Tengram Capital Partners.
  • Sale of Ignite Holdings, LLC, maker of beverage containers under the brands Contigo and Avex, by North Castle Partners, LLC to Rubbermaid Incorporated, a subsidiary of Newell Rubbermaid, Inc. (NYSE: NWL)
  • Majority investment by North Castle Partners in HydroMassage, a leading designer, manufacturer, marketer and seller of dry hydrotherapy massage systems.
  • Acquisition of Confluence Watersports, parent company to eight market-leading paddlesports brands, by private equity firm J.H. Whitney Capital Partners, LLC
  • Acquisition of Ignite USA, LLC, maker of beverage containers under the brands Contigo and Avex, by North Castle Partners
