Real Estate Experience:

  • Lead counsel on acquisitions/dispositions across the United States with value in excess of $300,000,000, including a distressed asset portfolio acquired in foreclosure and led through stabilization
  • Lead developer counsel for an opportunity zone development project in New Orleans
  • Lead borrower counsel on numerous mortgage financing facilities, including three construction facilities, and two CMBS facilities
  • Lender counsel on origination of junior construction loan for an A-class mixed use planned unit development in Brooklyn and locality important industrial facility in Camden New Jersey
  • Buyer counsel in acquisition by private equity firm of ski mountain and ski operating company

Corporate Experience:

  • Lead counsel advising startup company on founder equity disputes and issues
  • Counsel for mergers and acquisitions and private corporate financings

General Experience:

  • Acting as lead counsel on nearly all real estate matters worked
  • Experience with all aspects of due diligence and operative documentation negotiation for all types of transactions, with a particularly deep focus on real estate financings and joint venture arrangements
  • Experience with advising clients on tax advantaged structuring of real estate ownership and debt instruments
  • Originated three clients for the firm
     

Prior to joining Morrison Cohen:

Finance Experience:

  • Advised borrowers and lenders on complex real estate mortgage and mezzanine loan originations, refinancings and workouts, including construction, comprising in the aggregate over $2 billion in loan proceeds funded in diverse locations including New York, Florida, Texas and California

Purchase and Sale Experience:

  • Advised clients on complex real estate and real estate interest single asset and portfolio asset sales and purchases and long term leasings (ground leases and triple net leases), comprising in the aggregate over $3 billion of assets disposed in diverse locations including New York, Florida, Texas and California

Capital Structure Experience:

  • Advised owners and potential investors on equity structures for real property ownership of single assets and portfolio assets, including joint venture arrangements, recapitalizations, redemptions and preferred equity arrangements

Corporate Debt Experience:

  • Advised borrowers and lenders with respect to corporate debt facilities, including multiple LBO financings with value in excess of $300,000,000

Hospitality Experience:

  • Advise real property owners and hotel companies on hospitality arrangements for hotel assets in New York, Florida and Georgia
