Spencer Mizerak focuses his practice on a broad range of executive compensation and employee benefits matters, including those that arise in corporate transactions.

Spencer advises public and private companies and private equity sponsors in connection with mergers and acquisitions, with a particular focus on negotiating and drafting employee benefits and executive compensation terms. He regularly counsels clients in assessing human resources and employee benefit plan liability issues, and the design, implementation and maintenance of cash and equity-based compensation arrangements, including annual and long-term incentive plans and stock and phantom stock incentive programs.
Spencer also advises on and assists in negotiating employment, severance, change in control, retention, non-competition, non-solicitation and other compensation-related agreements and arrangements. In addition, he has experience assisting clients in complying with Sections 280G and 409A of the Internal Revenue Code.
Prior to joining Morrison Cohen, Spencer was an associate at Debevoise & Plimpton LLP in their Executive Compensation & Employee Benefits Group.
