Heath Rosenblat brings over two decades of experience to his corporate restructuring, bankruptcy, and commercial litigation practice. His clients, who include members of every creditor class, receivers, and debtors, turn to Heath for counsel in a wide range of bankruptcy and restructuring matters, including Chapter 11 and Chapter 9 proceedings, real estate workouts and foreclosure actions, Trust Indenture Act violations, and breach of contract disputes. Heath has extensive experience in the courtroom, including a successful federal-jury trial.

Prior to joining Morrison Cohen, Heath ran his own practice, Heath D. Rosenblat, PLLC, where he focused on restructuring and commercial litigation and served in an outside general counsel capacity, as well as gained invaluable experience in business operations and management. He was previously counsel in the Bankruptcy and Corporate Restructuring practices at Drinker Biddle & Reath LLP and King & Spalding LLP, and an associate at Kaye Scholer LLP. Before his law firm experience, Heath served as Senior Assistant Counsel in the New York State Unified Court System’s Office of Court Administration, and during law school, he was a judicial intern with The Honorable Lawrence E. Mooney in the Missouri Court of Appeals in St. Louis.

Heath was an adjunct professor at St. John’s University School of Law from 2009 to 2017, where he taught a bankruptcy practice litigation seminar. He frequently writes on restructuring and Chapter 11 matters in national law publications such as American Bankruptcy Institute Journal and The New York Law Journal.

In addition to practicing law, Heath is a classically-trained cook, having graduated with a culinary arts degree from The Culinary Institute of America with High Honors in August 2020.

Experience

  • Daol Rexmark, a New York-based lender acting as U.S. agent for Korea-based Kookmin Bank in UCC foreclosure against borrower Ashkenazy Acquisition Corp., regarding ownership of Washington D.C.’s Union Station. Rexmark was granted a preliminary injunction and declared temporary rightful owner of Union Station in the Southern District of New York.
  • Be-Aviv 286 Rider LLC, an affiliate of a private equity firm, in its successful recovery of 100% of its loan including all principal, interest, default rate interest, and attorney’s fees in the chapter 11 case of 286 Rider Ave Acquisition LLC, in the Southern District of New York. In this case, the lender exercised its rights under a pledge to vote and control its borrower and retained an independent manager to manage the borrower who commenced a chapter 11 case. The lender also provided DIP Financing, which was repaid in full.

Prior to joining Morrison Cohen

  • Represented creditor in various aviation restructurings.
  • Prepared and successfully litigated client-plaintiff’s breach of guaranty claims in a three-day federal-jury trial.
  • Handled post-judgment and collection matters concerning jury-verdict judgment.
  • Represented certain casino noteholders in breach of indenture/guarantee and Trust Indenture Act violation matter.
  • Handled Chapter 11 real estate representations of a stalking-horse purchaser of hospitality property and, also, a landlord regarding lease rejection disputes.
  • Primary representation of suppliers/manufactures in various jurisdictions regarding breach of contract disputes.
  • Represented indenture trustees in various matters including interpleader action and multiple bank-holding company Chapter 11 proceedings.
  • Managed day-to-day representation of the contract administrator and trustee of a $1.4 billion issuance in all aspects of the Chapter 9 bankruptcy of the City of Detroit, Michigan and related claim adjudication adversary proceeding.
  • Represented secured lender in negotiation of prepackaged Chapter 11 matter.
  • Negotiated budgets, DIP financing, and cash collateral orders for secured lenders.
  • Managed day-to-day representation of various secured lenders in multiple Chapter 11 proceedings and multiple state court matters, including various collateral sales and plan negotiations/mediations.
  • Represented secured lenders in real estate workouts and foreclosure actions.
  • Handled day-to-day administration of Chapter 11 debtor destination club, including asset sale and plan negotiations and related document preparation.
  • Handled day-to-day administration of $200 million failed merchant-bank bankruptcy/SEC trusteeship, including drafted motions and appellate briefs, and took various depositions.
  • Representation of both debtors and creditors in Chapter 11 proceedings, including negotiator of fraudulent transfer/preference claim proceedings.
  • Directed administration of $190 million failed hedge fund SEC receivership matter.
  • Assisted in sales of multiple hotels, a third-party administrator, and a cereal company, including negotiations, documentation, and obtaining Bankruptcy Court approval.
