Michael Weinstein is a partner in the Tax Department of Morrison Cohen LLP where he concentrates his practice on income taxation. 

Mr. Weinstein advises clients in a broad range of domestic and international tax issues arising in the areas of taxable and tax-free mergers, acquisitions, dispositions, corporate restructurings, business formations and financings, and structuring inbound and outbound investments.  In addition, he regularly advises clients on the income tax aspects relating to limited liability companies, limited partnerships, Subchapter S corporations, and real estate related investments and dispositions, including like kind exchanges.

Michael joined Morrison Cohen in 2008. He began his career at Latham & Watkins, LLP, and prior to joining Morrison Cohen he was a Partner in the Tax Department of Thelen LLP.

Experience

  • Represented North Castle Partners in the completed sale of Mineral Fusion Natural Brands LLC, a leading natural brand of cosmetics and personal care products, to BWX Limited.
  • Represented North Castle Partners in the making of a strategic investment in Barry’s Bootcamp, the boutique fitness brand with studios across the United States and abroad.
  • Represented funds affiliated with Goldman, Sachs & Co. in various co-investment and secondary transactions.
  • Represented funds affiliated with JP Morgan Asset Management in various co-investments.
  • Represented TPG Growth, the middle market and growth equity platform of alternative asset firm TPG, in the making of an investment in Club Pilates, the largest franchisor of Pilates studios in the United States.
  • Regularly advises offshore clients on structuring private equity investments and offerings in the United States.
  • Regularly represents clients in the structuring of like-kind exchanges under 1031 of the Internal Revenue Code.
  • Represented GRO-WELL Brands, Inc., a Phoenix-based company specializing in the production and marketing of natural and organic lawn and garden products, which was acquired by Global Environment Fund (GEF), a private equity firm based outside of Washington, D.C. focused on making investments globally in the environmental services, resource efficiency, clean energy and sustainable resource management sectors.
  • Represented LOGIX Communications, a market-leading fiber-optic bandwidth infrastructure services provider based in Texas, and Astra Capital Management, a Washington, D.C.-based, private equity firm that invests in growth businesses in the communications and technology services sectors, in the acquisition of Alpheus Communications from its current private equity owners, The Gores Group and Scott Widham.  The combination created one of the largest metro fiber operators in Texas.
  • Represented Vitec Group plc, the UK-based international provider of products and services for the broadcast, photographic and military, aerospace and government markets, in the sale of its New Hampshire-based US defense contractor, Haigh-Farr, Inc. to Haigh-Farr Acquisitions, Inc., which is owned by Haigh-Farr's current management.
  • Represented AGM Partners, a New York-based investment bank specializing in media and entertainment deals, in the formation of a strategic alliance with United Talent Agency (UTA), one of the largest talent agencies in the world.
  • Represented client Laura Geller, a leading prestige color cosmetics brand, which was sold by private equity firm Tengram Capital Partners to Glansaol LLC, a new prestige beauty and personal care company.
  • Represented Trusted Media Brands, Inc. in the sale of certain assets relating to its children’s book publishing business, Studio Fun International, Inc., which was formerly known as Reader’s Digest Children’s Publishing, Inc., to Readerlink Distribution Services, LLC.
  • Represented Astra Capital Management, a Washington, D.C.-based, private equity firm that invests in growth businesses in the communications and technology services sectors, in the acquisition of LOGIX Communications, a telecommunications company that specializes in fiber-based enterprise voice and data services.
  • Represented Broad Sky Partners, a sector-focused private equity sponsor, in its acquisition of St. Louis-based Manna Pro, a leading animal health and nutrition business.
