David is Senior Counsel in Morrison Cohen’s Corporate Department.
David regularly provides advice and counsel to both domestic and international companies and individuals in a broad range of industries on business matters at every stage of their life cycles, including start-up formation, strategic planning, executive compensation, corporate governance, secured lending, mergers and acquisitions, and all forms of venture capital and private equity transactions. David assists clients with day-to-day operations, including regulatory and compliance matters, vendor and customer contract negotiation, intercompany and affiliate relationships, finance and fiscal matters, risk and liability allocations, human resources and employee benefit considerations, and review of electronic and social media content.
David has extensive experience in structuring and negotiating complex business transactions, including mergers, stock and asset acquisitions and divestitures, joint ventures, equity finance, recapitalizations, and restructurings. David also represents borrowers, and senior and subordinated lenders in connection with secured and unsecured credit facilities, restructurings and corporate bankruptcies, and advises boards of directors and senior management in connection with such matters.
Following his graduation from college, David joined Teach For America and taught 7th and 8th grade middle school American History and English in Oakland, California.
